Equipment Terms

This agreement is between you the undersigned party/merchant and Mirai Ventures LLC (Mirai). As you have agreed to accept certain services and goods from Mirai you hereby agree as follows: Make prompt and immediate payment for services received and hardware purchased or leased from Mirai. Payments may be one-time or recurring depending on the item/service purchased. You agree to pay any late fees, termination fees or other charges if a payment is dishonored. You agree to use any hardware or services only as intended in the ordinary course of operation or use. You agree to return the Mirai hardware within fourteen (14) days of cancellation or termination of the merchant account or decision to end the use of the device(s). If the terminal(s) are not returned in this timeframe, you may be assessed a fee and/or cost of replacement.

TO THE EXTENT PERMITTED BY LAW, MIRAI DISCLAIMS ALL WARRANTIES OF ANY KIND UNDER THIS AGREEMENT. THE SOFTWARE AND HARDWARE ARE PROVIDED “AS-IS”. MIRAI’S LIABILITY UNDER THIS AGREEMENT UNDER ANY THEORY OF LAW WHATSOEVER IS LIMITED TO THE AMOUNTS PAID BY CUSTOMER TO MIRAI IN THE TWELVE (12) MONTHS PRECEDING THE DATE GIVING RISE TO THE CLAIM. IN NO EVENT SHALL MIRAI HAVE ANY LIABILITY FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHETHER OR NOT MIRAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
